Jercy, but sm1 with the access to the code could give it to you? I totally agree that DFO will probably kill existing game which erroneously have 'Darkfall' word in the name.
Also i have another question, about legality. If you will be successful and the Game would move into the market, what laws should it break? Or it will be totally legally to use the core and almost the same code to 'earn' money from it? Will we have a problems with paying for the game?

We have access to the sourcecode, but it's not complete. its fully legal if you are the owner of a copy of the game. since it was a virtual product that was purchased by real money, you can just "buy" the game virtualy from another person. Even borrowing the game from another person is legal, because the TOS of AV say its not allowed to share the account. Account side is no longer necessary since the account will come from the emulator, and we might use other TOS for this one.

Legally speaking we are allowed to emulate the game, but as soon we modify the game in any way, we break the TOS we all agreed to when we bought the game, and legal action can be taken. We inevitably will modify the game in some way if we aim to emulate it.
Some emulators do it by dodging the law (ie law doesn't apply in my country) and others do it by coming to an agreement with the developers of the game. Some devs like you to share their abandonware, their publishers do not.
Pretty sure nobody is legally allowed to make money from an emulator. Only money the devs would get would be donations and server funds.
SWGemu requires you have the original discs to run it and the makers of the emu have an agreement with LucasArts and SOE.

Emulation of online games is legal in europe! I.E, Blizzard can't do a thing about european hosted private servers for WoW.
EDIT: As long as it's non-profit.
